Subject to the terms and conditions pervasive within this end user license agreement (EULA), PDFConverted grants a download and use license of this PDF Editor package to you the user. Read this agreement with caution. By downloading the software, whether installed and used or not, you are conceding to the terms and conditions of this EULA, and thereby bind yourself to these stipulations. If you do not concur with these terms, do not download, install, use, or copy our PDFConverted software.
Customer Notice
This End User License Agreement is a binding contract between you, the software license holder (whether as an individual or as an authorized representative of another entity) and our company, PDFConverted. If you hold possession of the software, either through download or by any other method of acquisition, this possession activates the terms of this agreement. Possession of this software does not declare a right of ownership. PDFConverted retains authority over your rights to use our software product, any associated documentation, and any included executable programs.
License As Granted To The End User
With each individual software purchase, PDFConverted grants you, the end user (either as an individual or as an authorized representative of another entity) a license to download and install exactly 1 copy of the software on exactly 1 computer system. By the word “install”, we include the right to load the software into an individual operating system, the right to store any included files, the right to execute the software, and the right to access any associated database functions. As a by product of this purchased license to install and use our software, you agree to make all rational efforts to protect our product from unauthorized installations, access, reproduction, distribution, use, or publication. This protection includes, but is not limited to, any modification of the original software source code, any forms of reverse engineering, any removal of license information or control functions, and any distribution of the software code. Deviation from the terms of this EULA must be accompanied by explicit and prior written permission signed by a duly authorized agent of PDFConverted.
License Limitations
Though you are not authorized to create multiple copies of our software, you may, for archival purposes, produce a reasonable number of computer readable product backups. You are not authorized to share or distribute these backup copies with any other individual, company, or corporate entity. PDFConverted may, from time to time and by an expressly written permission signed by an authorized agent of PDFConverted , permit you the user, to create additional copies of our software. As with the original product, you may not edit our software in any manner or form. These terms include, but are not limited to, the removal of any trademark identifications, titles, or names, any copyright notices, or any other measures of proprietary markings that PDFConverted has included on or in our software. Neither are you granted the right to any of these identification components, including those internal markings and those external markings.
PDFConverted: All Proprietary Rights Reserved
PDFConverted holds all proprietary rights to our software. We do not grant, give, share, or sell any an portion of the title, the License Key, the copyrights, the patents, the pending patents (if any), the trademarks, the associated trade secrets, or any other form of intellectual and industrial ownership rights to our software. PDFConverted retains, without limit, all control and ownership over user applications, registrations, renewals, or extensions to our software and the license to use thereof.
License and Product Restrictions
Even as an authorized holder of a lawfully purchased license to download, install, and use our software you may not sell or share this license in any form, including but not limited to leasing, giving, sublicensing, distributing, or installing our software or our License Key upon an unauthorized, third party system. This license to download and install our software is unique between you, the legal holder, and PDFConverted. Any effort to provide the License Key or any part thereof to a third party is a breach of this license agreement and the violator shall be prosecuted to the full extent of existing law. Unless given express permission by an authorized agent of PDFConverted, you may not disclose, provide, relay, divulge, or install our software on any third party systems, this includes inputting our Software License Key information into the hands of others. Furthermore, you are not permitted to disassemble, reverse engineer, or otherwise endeavor to extract our program source code from within our software package, neither in whole nor in part. You are not permitted to modify our software, nor may you use our software to replicate a derivative software package. We do not permit you to install or use our software on any software sharing services, including hosting or Remote Access systems.
Agreement Termination
If you, the licensed download and install user, fail to fully comply with the terms of this EULA, PDFConverted reserves the right to bring an end to this agreement. In the event that your license to install and use our software is terminated, you are required to dispose of all documentation, software, software copies, and software License Key information to our software. In addition, you must remove any system-installed copies of our software, including, but not limited to system backup copies on any individual or network based computers or terminals in your possession.
Governing Legal and Regional Provisions
The presiding laws of Hong Kong shall fully govern, excluding any applicable conflicts with regional legal previsions, any and all enforcement, bindings, and corrections of this EULA. Furthermore, laws that pertain to the United Nations Convention on Contracts for the International Sale of Goods, unless expressly excluded by the application, shall not govern this EULA. Should any portion of this EULA be legally concluded void and unenforceable, the remaining components, contents, terms, and conditions shall retain valid applicability.
You, the licensed download and install user of our software, agree and confirm that you will protect our software from being shipped, exported, electronically transferred, or otherwise dispersed into any nation or country that would use or apply our software in a manner that is prohibited by the United States Export Administration Act. This protection includes any other export decrees, constraints, or regulations. Failure to adhere to these restrictions will result in an immediate and automatic termination of your license to download, install, and use our software, and is concluded with the termination of this EULA. Only PDFConverted, through the signed authorization of an existing and current company officer, may modify this agreement.
No Warranty
PDFConverted makes no claims as to the fitness of our software to perform any specific purpose. We provide this software AS IS, and without warranty either written or implied. No agent of PDFConverted, including authorized officers, is permitted to warrant the performance, profitability, or results that you may reap, or fail to reap, through the use of our software or our software documentation; this non-warranty restriction clause includes any and all perceived or implied warranty statements that may be offered through any of our affiliates, suppliers, or resell partners. Furthermore, PDFConverted makes no statements or warranties as to our software’s non-infringement of third party rights, fitness of merchantability, or function ability toward any specific purpose.
PDFConverted and all or our affiliates remain without liability to you, the licensed user of our software, for any specific, consequential, or incidental damages that may result or be perceived to have resulted due to the use of our software, including but not limited to any loss of profits, loss of productivity, loss of savings, or loss of data; this non-liability stands even if a representative of PDFConverted has been fully advised of the dangers and possibilities of such damages.
Some states do not permit elimination or limitation of incidental, consequential, or special damages through the exclusion of a warranty or an implied warranty. The “no warranty” terms and conditions of this EULA may not apply to you.
Limitation of PDFConverted Liability
If a recognized, legal authority should determine that PDFConverted must be liable to you, the licensed user of our software, for any loss; that loss shall not include loss of profits, loss of data, loss of business opportunities, loss of direct or indirect savings, loss of direct or indirect income, loss of productivity, or any other form of special damages, consequential damages, or incidental damages. The maximum limit of our liability to you, the licensed user of our software, shall not exceed the price paid by you, if any, for the license to download, install, and use our software; this provisions standing less any shipping cost or other non license related cost.
